Terms of Service

The terms that govern your organisation's use of the Guardivion authentication platform.

Draft — pending legal review. Guardivion is a pre-incorporation venture; a UK entity will be registered ahead of any formal commercial agreement. Items marked [TO BE CONFIRMED] are placeholders to be completed before publication. Guardivion is working toward formal SOC 2 and ISO/IEC 27001 certification and is not yet certified.

1. Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the Guardivion authentication platform, portals, and APIs (the "Service"). By creating an account, registering an organisation, or using the Service, you agree to these Terms. If you accept on behalf of an organisation, you represent that you are authorised to bind it.

2. The Service

Guardivion provides device-based multi-factor and passwordless authentication. End-user private keys are generated and held within the user's device hardware keystore and are never transmitted to Guardivion. Availability targets, if any, are described in the applicable order.

API keys issued through the Org Integration portal are credentials. You must store them securely, rotate them periodically, and revoke compromised keys immediately. Guardivion may rate-limit, suspend, or revoke keys to protect platform integrity. Cancelled organisations lose key access until reinstated.

6. Fees

Paid plans are billed per the applicable order. Fees are non-refundable except as required by law. [TO BE CONFIRMED] — confirm if/when commercial terms apply.

7. Intellectual property

Guardivion and its licensors retain all rights in the Service. You retain all rights in your data. You grant Guardivion a limited licence to process your data solely to provide the Service, as detailed in the DPA.

8. Disclaimers

The Service is provided "as is" to the maximum extent permitted by law. Guardivion does not warrant that the Service will be uninterrupted or error-free. No authentication system can guarantee absolute security.

9. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Guardivion's aggregate liability is limited as set out in the applicable order [TO BE CONFIRMED].

10. Term & termination

Either party may terminate for material breach not cured within 30 days. On termination, access ends and data is handled per the Privacy Policy and DPA retention terms.

11. Governing law & changes

These Terms are governed by the laws of England and Wales. We may update these Terms; material changes will be notified to administrators, and continued use constitutes acceptance. Questions: [email protected].
